Parrish, Assistant City Manager <br />� <br />� SUBJECT: Amendment of Agreement befinreen the City of Colton and <br />Taormina Industries, Incorporated for Municipa"i Solid Waste, <br />Recyclables, and Green Waste Collection and Transportation <br />Disposal, Composting, and Processing Facilities <br />� DATE: February 13, 1997 <br />BACKGROUND: <br />Taormina Industries, Incorporated, DBA Colton Disposal is the City of Colton's <br />provider of residential and commercial/ industrial refuse collection, processing <br />and disposal services under the terms of the agreement dated June 3, 1996. <br />Taormina Industries has reached an accord with Republic Industries, <br />Incorporated to merge Taormina Industries as a wholly owned subsidiary of <br />Republic tndustries, Incorporated, DBA Colton Disposal. The closing of the <br />merger is expected to occur by the end of February 1997. <br />Pursuant to Article 15.01 b. of the agreement, the contractor must request <br />consent of the City prior to any assignment of this agreement. The pending <br />merger of Taormina Industries with Republic Industries does require City Council <br />approval. The contractor has additionally submitted the Request for Assignment <br />together with the required documentation as required by Article 15.01 b. (1-6). <br />Republic Industries is one of the largest solid waste services providers in the <br />United States. At the close of the merger, Taormina Industries will become the <br />Western Regional Office for Republic's Solid Waste Division. It is important to <br />note that the management, personnel and equipment used to serve the <br />residents and businesses of Colton will not change. <br />Item No. 27� <br />
