• e 14.08 Gifts and Contributions Disclosed. Contractor shall disclose any gift or campaign contribution, as applicable, to any City appointed or elected official, emplo}�ee, agent, consultant or contractor by Notice to the City Clerk at the address provided in Section 16.01. 14.09 Due Diligence. Contractor acknowledges that the City may be subject to statutory fines for failure to achieve mandated diversion levels and that waste management is a public health and safety concern. It agrees that it shall eYercise due diligence in performing Services hereunder. 1=1.10 Subcontractors. Contractor shall not en�age any subcontractor to perform Services without prior City approval of such subcontract and subcontractor. Contractor shalt be responsible for directin; the �.�ork of Contractor's subcontractors and any compensation due or payable to Contractor's subcontractors shall be the sole responsibility of Contractor. City shall have the right to require the removal of any approved subcontractor for reasonable cause. The subcontractors listed on Exhibit 14.10 as amended from time to time with consent of the City, are permitted subcontractors. 14.11 Use of City N�me. Contractor shall submit to the City for City approval any name under �vhich it proposes to do business as or use as a corporate, partnership, venture or other formal name. ARTICLE 1�. ASSIGNMENT AND ANIENDMENTS 1�.01 Assignment. a. City Assignment. The City reserves the right to assign this Agreement to a sanitation district or other public entity succeeding to the major portion of the City's solid �vaste management ri�hts and oblijations. The City may also assign this A�reement to any other Person upon City's determination that such assignee is financially capable of ineeting the City's oblijations hereunder. b. Contractor Assignment. Contractor acl:no�vledges that the experience and eYpertise of Contractor are material considerations of City in enterinj into this Aareement with Contractor. Contractor shall not assign any of Contractor's ri�hts nor delegate any of Contractor's duties under this Agreement without the express prior �vritten consent of City given in its sole discretion. Any such assignment made �vithout the consent of City shall be void and constitute an Event of Default under item 10 of Section 11.02.
