CITY OF COLTON <br />ADMINISTRATIVE REPORT <br />DATE: February 18, 1997 <br />TO: Honorable Mayor and Members of the City Council <br />FROM: Malik Dantala Freeman, City Manager <br />SUBJECT: Amendment to Agreement between the City of Colton and Taormina Industries, <br />Inc. for Municipal Solid Waste, Recyclables and Green Waste Collection and <br />Transportation to Disposal, Composting and Processing Facilities <br />BACKGROUND <br />Taormina Industries, Inc., dba Colton Disposal is the city's provider of residential and <br />commercial/industrial refuse collection, processing and disposal services under the terms of the <br />agreement dated June 3, 1996. Taormina Industries, Inc. has reached an agreement with Republic <br />Industries, Inc. to merge Taormina Industries, Inc. as a wholly owned subsidiary of Republic <br />Industries, Inc. dba Colton Disposal. The closing of the merger is expected to occur by the end of <br />February, 1997. <br />Pursuant to Article 15.O1b. of the Agreement, contractor must request written consent of the City <br />prior to any assignment of the agreement. The pending merger with Republic Industries would <br />require City approval. Contractor has submitted the Request for Assignment together with the <br />required documentation as required by Article 15.O1b. (1-6). <br />Republic Industries is one of the largest solid waste providers in the country. At the close of the <br />merger, Taormina Industries will become the Western Regional office for Republic's Solid Waste <br />Division. It is important to note that the management, personnel and equipment used to serve <br />Colton will remain the same. The standards of service and the working relationships developed <br />with Colton Disposal will not change. <br />RECOMMENDATION <br />It is recommended that the City Council of the City of Colton approve the contractor's Request <br />for Assignment and reflect the change in the agreement to read: TAORMINA INDUSTRIES, <br />INC. AS A WHOLLY OWNED SUBSIDIARY OF REPUBLIC INDUSTRIES, 1NC. DBA <br />COLTON DISPOSAL. <br />
