1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27' 28 Council a form of Preliminary Official Statement prepared by the Underwriter with respect to the Bonds, and the City Council has determined that the discussion and information contained therein with respect to the City, its operations and financial condition and the Community Facilities District are correct and that said Preliminary official Statement should be approved, that the Underwriter should be authorized to distribute said Preliminary Official Statement in connection with the marketing of the Bonds, and that the preparation of a Final official Statement, based on said Preliminary Official Statement, should be authorized; NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF COLTON, COUNTY OF SAN BERNARDINO, CALIFORNIA, DOES HEREBY RESOLVE, DECLARE, DETERMINE AND ORDER AS FOLLOWS: Section 1. Approval of Purchase Agreement. The form of Purchase Agreement and the sale of the Bonds pursuant thereto upon the terms and conditions set forth therein is hereby approved and, subject to the provisions of Section 4 hereof, the Mayor or his designee is authorized to execute and deliver the Purchase Agreement in the name of and on behalf of the Community Facilities District and the City in said form with such changes therein as the officer executing the same may approve and such matters as are authorized by Section 4 hereof, such approval to be conclusively evidenced by the execution and delivery thereof. Section 2. Approval of Preliminary Official Statement. The Preliminary Official Statement presented to the City Council at the meeting at which this resolution is adopted, is approved and the Mayor or his designee is authorized to deem the Preliminary Official Statement to be in substantially final form and to consent -2-
