Waiver of Certain Funding Aareement <br />Reauirements. The City Council hereby finds and determines that <br />the Developer shall not be required to have met the conditions set <br />forth in Section 6 of the Funding Aqreement for the purchase by <br />the City of Parcel No. 1 as described in Exhibit "A" to the <br />Funding Agreement. Aowever, all other terms and conditions of the <br />Funding Agreement shall remain in full force and effect and the <br />requirements of Section 6 are not waived and shall still fully <br />apply and shall be conditions precedent to the acquisition of <br />Parcel No. 2 and Parcel No. 3 described on Exhibit "A" to the <br />Funding Agreement. <br />Section 4. All Necessarv Actions. The Mayor and the <br />City Clerk and their authorized designees are hereby authorized <br />and directed, jointly and severally, to do any and all things, to <br />take any and all actions and to execute and deliver any and all <br />documents and certificates which they may deem necessary or <br />advisable in order to effectuate the purposes of this resolution. <br />Section 5. Effect This resolution shall take effect <br />immediately upon its passage. <br />-3- <br />
