9. This Agreement and Release shall be binding <br />upon and for the benefit of the Agreeing Parties and their <br />respective successors, affiliates, representatives, assigns, <br />officers, councilmembers, agents and employees wherever the <br />context requires or admits. <br />10. The Agreeing Parties expressly state that they <br />have consulted with their respective attorneys concerning <br />all portions of this Agreement and Release and have been <br />fully advised by their attorneys with respect to their <br />rights and obligations hereunder. <br />11. This Agreement and Release constitutes the <br />entire agreement between the Agreeing Parties, and it is <br />expressly understood and agreed that this Agreement and <br />Release may not be altered, amended, modified or otherwise <br />changed in any respect or particular whatsoever, except by <br />a writing duly executed by authorized representatives of the <br />Agreeing Parties hereto. The parties hereby agree and <br />acknowledge that they will make no claim at any time or <br />place, that this Agreement and Release has been orally <br />altered or modified or otherwise changed by oral communica- <br />tion of any kind or character. <br />12. The effective date of this Agreement and <br />Release shall be July 15, 1991. <br />13. Unless hereafter changed with written notice <br />to all parties, the respective attorneys of record of each <br />party to this Agreement and Release shall be those listed <br />below. <br />-7- <br />
