R-27-93 <br />RESOLUTION APPROVING THE TRANSFER OF CABLE <br />TELEVISION FRANCHISE FROM AMERICAN CABLE TV <br />INVESTORS 41 LTD., TO TCI CABLEVISION OF <br />CALIFORNIA, INC. <br />WHEREAS, American Cable TV Investors 4, Ltd., a Colorado <br />limited partnership ("Seller") is an affiliated entity of Tele- <br />Communications, Inc., a Delaware corporation ("TCI") and is the <br />duly authorized holder of a franchise, permit, license or other <br />authorization, as amended to date (the "Franchise") which allows <br />the Seller to operate and maintain the cable television system (the <br />"System") providing cable television service to subscribers in the <br />city of Colton, California (the "City"); and <br />WHEREAS, Seller and TCI executed that certain Asset Purchase <br />Agreement dated January 28, 1993, (the "Agreement") wherein Seller <br />and TCI agreed that TCI will acquire all of the assets used in the <br />ownership and operation of the System (the "System Assets"); and <br />WHEREAS, as of January 28, 19931 TCI assigned all of its <br />right, title and interest in the agreement to TCI Cablevision of <br />California, Inc., a California corporation ("TCI -CA"), a wholly <br />owned subsidiary of TCI; and <br />WHEREAS, TCI -CA desires to acquire all of Seller's right, <br />title and interest in the Franchise and System Assets and to assume <br />all of Seller's obligations under the Franchise which accrue from <br />and after the date of closing under the Agreement (the "Closing <br />Date"); and <br />WHEREAS, the Seller has requested, and the City is willing to, <br />consent to the assignment by Seller of Seller's right, title and <br />
