Execution <br />of the Official Statement shall be conclusive evidence of approval <br />thereof. <br />Section 8. Official Action. The Mayor, City Manager, City <br />Attorney, Bond Counsel and any and all other officers of the City <br />are hereby authorized and directed, on behalf of the City, to <br />take any and all actions including execution and delivery of <br />assignments, certificates, requisitions, agreements, notices, <br />consents, instruments of conveyance, warrants and other documents, <br />which may be deemed necessary or advisable to consummate the, <br />lawful issuance and sale of the Bonds as described herein, <br />including distribution of the Official Statement to prospective <br />purchasers when available for distribution. Whenever this <br />Resolution authorizes an officer of the City to execute or <br />countersign a document or take any other action, such action may <br />be taken by any person designated by such officer to act on his or <br />her behalf when such officer is absent or otherwise unavailable. <br />The City hereby appoints the Mayor and City Manager as agents of <br />the City for purposes of executing documents and instruments which <br />any officer of the City is hereby authorized to execute. <br />Section 9. Effective Date.
