EXHIBIT A <br />MEMORANDUM OF UNDERSTANDING <br />BETWEEN THE COUNTY OF <br />SAN BERNARDINO AND THE CITY OF COLTON <br />FOR CONSTRUCTION OF TRAFFIC MITIGATION AND INFRASTRUCTURE <br />IMPROVEMENTS <br />ARTICLE I: PARTIES AND DATES <br />This Agreement entered into in the City of Colton, County of San <br />Bernardino, State of California, this day of , 19959 <br />between the County of San Bernardino ("County"), a political subdivision <br />of the State of California, and the City of Colton ("City"), a municipal <br />corporation. <br />ARTICLE II: RECITALS <br />2.1 The County is currently in the process of replacing the <br />existing County Medical Center with a new facility called the San <br />Bernardino County Medical Center Replacement Project ("Center"), to be <br />located in the City on a major part of a parcel bounded by the following <br />streets: Pepper Avenue, San Bernardino Avenue, Meridian Avenue, and <br />Valley Boulevard. In conjunction with said Center, a number of off-site <br />traffic mitigation measures, connection fees and facility charges <br />established by City ordinance, and electrical power components <br />(hereinafter referred to as "the Project") need to be completed, as defined <br />by Project Component, in Attachment I. <br />2.2 The purpose of this agreement is to define the respective <br />roles and responsibilities of the City and the County relative to funding, <br />design, construction, and operation of the Project. <br />2.3 The County has found and determined that it would be <br />advantageous for the County to advance 100% of all the construction <br />costs of all Project Components listed in Attachment I and defined in <br />summary detail in Attachment 111, Project Component Descriptions, as <br />such costs arise subject to later reimbursement to the County, from <br />development impact fees to be imposed and collected by the City from <br />new development within the Center Benefit Area as depicted in <br />Attachment IV hereto, of all sums advanced in excess of the County's <br />agreed upon "fair share" of such Project Component costs. <br />2.4 In the conduct of its responsibilities under this agreement, <br />City may decide whether to include multiple Project Components in a <br />given construction contract.
