(the "Fiscal Agent") <br />submitted to this meeting and on file with the City Clerk, is hereby approved. The form of escrow agreement (the "Escrow Agreement") by and <br />between the City and the Trustee, as escrow agent, submitted to this meeting and on file with <br />the City Clerk, is hereby approved. An Authorized Officer is hereby authorized and directed to <br />execute and deliver the Escrow Agreement in substantially the form on rile with the City Clerk, <br />with such changes, additions or deletions approved by such Authorized Officer after <br />consultation with the City Attorney and Bond Counsel in the interest of the City, such approval <br />to be conclusively evidenced by such execution and delivery. <br />Section 9. The form of continuing disclosure agreement (the "Continuing <br />Disclosure Agreement") by and between the City and the Trustee, as dissemination agent, <br />submitted to this meeting and on rile with the City Clerk, is hereby approved. An Authorized <br />Officer is hereby authorized and directed to execute and deliver the Continuing Disclosure <br />Agreement in substantially the form on file with the City Clerk, with such changes, additions <br />or deletions approved by such Authorized Officer after consultation with the City Attorney and <br />Bond Counsel in the interest of the City, such approval to be conclusively evidenced by such <br />execution and delivery. <br />Section 10. The Refunding Bonds are hereby designated as "qualified tax- <br />exempt obligations" within the meaning of Section 265(b)(3) of the Code.
