AMENDMENT NO.2 TO <br />PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN THE CITY OF COLTON <br />AND <br />KOA CORPORATION <br />1. PARTIES AND DAT9. <br />This Amendment No. 2. to the Professional Services Agreement. ("2nd Amendment") is <br />made and entered into this 21st. day of September, 2022 by and between the City of Colton <br />('City") and KOA.. Corporation ("Consultant"). City and Consultant. are sometiriies <br />individually referred to as' "Parry" and collectively as `"Parties" in this 2nd Amendment. <br />2. RECITALS. <br />2.1 Agreement. City and Consultant entered into that certain Professional Services <br />Agreement dated October 7, 2020 ("Agreement"), whereby Consultant agreed to provide <br />services for the preparation. of.plans and environmental documents for the Reche Canyon Road <br />.Realignment to Hunts Lane Project ("Project"}. <br />2.2. Amendment. City and. Consultant desire to amend the Agreement. for the. 2nd <br />time to increase contract amount and to extend the term of the Agreement. <br />.3. TERMS. <br />3.2 Scope of Services and Term. Compensation. Section 3.3.1 of the. Agreement is <br />hereby deleted in its entirety and replaced with the following: <br />3.2.1 Compensation. Consultant shall receive compensation, including <br />authorized reimbursements, for: all. Ser-Aces. rendered: under this Agreement at the <br />rates set forth in. Exhibit "A" attached. hereto and incorporated herein by <br />reference. The.total compensation shall not. exceed Five Hundred Twenty -Five <br />Thousand. Nine Hundred Fifty and 251100 Dollars ($525,950.25) without <br />written approval of City's City Council. Extra Work. may be :authorized, as <br />described below, and if authorized, will be compensated at the rates and manner <br />set forth in this Agreement." <br />3:3'Continuing Effect "of A eement. Except as amended by this Amendment No. <br />2, all provisions of the Agreement shall. remain unchanged and in full force and effect. From and <br />after the date of this 2ndAmendment; whenever the term "Agreement" appears in the Agreement, <br />it shall mean the Agreement as amended by this 2nd.
