SECOND AMENDED AND RESTATED <br /> COOPERATIVE AGREEMENT NO. 18-1001904-03 <br /> BETWEEN <br /> SAN BERNARDINO COUNTY TRANSPORTATION AUTHORITY <br /> AND <br /> CITY OF COLTON <br /> FOR <br /> PROJECT INITIATION DOCUMENT (PID), PROJECT APPROVAL AND <br /> • <br /> ENVIRONMENTAL DOCUMENT (PA/ED), <br /> PLANS, SPECIFICATIONS AND ESTIMATE (PS&E), RIGHT OF WAY (ROW), <br /> CONSTRUCTION AND LANDSCAPE MAINTENANCE PHASES <br /> FOR THE MOUNT VERNON AVENUE AT INTERSTATE 10 (I-10) INTERCHANGE <br /> IN THE CITY OF COLTON <br /> I. PARTIES AND TERM. <br /> A. THIS SECOND AMENDED AND RESTATED COOPERATIVE AGREEMENT <br /> ("AGREEMENT") is made and entered into by and between the San Bernardino County <br /> Transportation Authority (hereinafter referred to as "SBCTA" or "AUTHORITY") and the <br /> City of Colton ("CITY"), (SBCTA and CITY may be referred to herein individually as a <br /> "PARTY"and collectively as "PARTIES"). <br /> B. Unless this AGREEMENT is terminated early as provided in Section V, Paragraph F, this <br /> AGREEMENT shall terminate upon completion of the PARTIES' obligations associated with the <br /> project initiation document ("PID"), project approval and environmental document ("PA/ED"), <br /> plans, specifications and estimate("PS&E"),right of way("ROW"), Construction and Landscape <br /> Maintenance phases described herein or December 31, 2026, whichever is earlier in time. The <br /> indemnification provisions identified in Section V, Paragraphs D through E shall survive the <br /> termination of this AGREEMENT. Should any claims arising out of this AGREEMENT be <br /> asserted against one of the PARTIES prior to the termination of this AGREEMENT, the <br /> AGREEMENT shall be extended until such time as the claims are settled, dismissed or paid. <br /> II. RECITALS <br /> A. WHEREAS, CITY intends to improve the Mount Vernon Avenue at Interstate 10 Interchange <br /> within the limits of the City of Colton; and <br /> B. WHEREAS, planned improvements include improving local traffic operations by adding left <br /> turn lanes at the intersection of east Valley Boulevard and Mount Vernon Avenue, as further <br /> described in Attachment A-2 and depicted in Attachment B-1, attached hereto and made part <br /> of this AGREEMENT, and is defined as the"PROJECT"; and <br /> - 18-1001904-03 Pg. 1 <br />
