Such notices shall be mailed or otherwise delivered to the addresses set forth below, or at such <br />other addresses as the respective parties may provide in writing for this purpose: <br />CITY COMPANY <br />City Manager President <br />City of Colton Reche Canyon Mutual Water Company <br />650 N. La Cadena 22125 Barton Road, Suite 600 <br />Colton, CA 92324 Grand Terrace, CA 92313 <br />Such notice shall be deemed made when personally delivered or when mailed, forty-eight (48) <br />hours after deposit in the U.S. Mail, certified mail, return receipt requested, to the party at its <br />applicable address. <br />3.17 Term. This Agreement shall expire upon completion of performance of this <br />Agreement by both parties. <br />3.18 Attorneys' Fees. In the event any action is commenced to enforce or interpret any <br />term or condition of this Agreement, in addition to costs and any other relief, the prevailing party <br />shall be entitled to its reasonable attorneys' fees, expert fees and other reasonable costs of <br />defense. <br />3.19 Entire Agreement; Amendment. This Agreement contains the entire agreement of <br />the parties hereto with respect to the matters contained herein, and supersedes all negotiations, <br />prior discussions and preliminary agreements or understandings, written or oral. No waiver or <br />modification of this Agreement shall be binding unless consented to by both parties in writing. <br />3.20 Waiver. No waiver of any default shall constitute a waiver of any other default or <br />breach, whether of the same or other covenant or condition. No waiver, benefit, privilege, or <br />service voluntarily given or performed by a party shall give the other party any contractual rights <br />by custom, estoppel, or otherwise. <br />3.21 Invalidity and Severability. If any portion of this Agreement is declared invalid, <br />illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions <br />shall continue in full force and effect. <br />3.22 Governing Law. This Agreement shall be governed by the laws of the State of <br />California. Venue shall be in San Bernardino County. <br />3.23 Labor Certification. By its signature hereunder, Company certifies that it is <br />aware of the provisions of Section 3700 of the California Labor Code which require every <br />employer to be insured against liability for Worker's Compensation or to undertake self- <br />insurance in accordance with the provisions of that Code. Company agrees to comply with <br />such provisions and to require its consultants and contractors to comply with such provisions <br />before commencing any work on the Project. <br />RVPUBITFF1607452 <br />
