3.4 Adequate Consideration. The parties hereto irrevocably stipulate and <br />agree that they have <br />each received adequate <br />and independent consideration <br />for the <br />performance of the <br />obligations they have <br />undertaken pursuant to this <br />Second <br />Amendment. <br />3.5 Counterparts.
