APPROVED BY CITYC UNCIL Date 4 FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMEN tem BETWEEN THE CITY OF COLTON AND AC ELECTRIC SYSTEMS ARTICLE 1. PARTIES AND DATE This First Amendment to the Professional Services Agreement ("First Amendment") dated as of the 25th day of July, 2006 is entered into by and between the City of Colton ("City") and. AC Electric Systems (Consultant). ARTICLE 2. RECITALS 2.1 City and AC Electric Systems entered into that certain Professional Services Agreement dated February 15, 2006 ("Agreement"), whereby AC Electric Systems agreed to provide general electrical engineering services for various electrical system issues to the City of Colton Electric Department. 2.2 City and AC Electric Systems now desire to amend the Agreement to increase the amount of on-site services from twenty hours per week to forty hours per week, and to increase the total compensation accordingly. ARTICLE 3. TERMS 3.1 Section 3.3.1 of the Agreement is hereby amended to read as follows: 3.3.1 Compensation. Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement at the rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. The total compensation shall not exceed eighty-two thousand dollars ($82,000.00) per year without written approval of City Manager. Extra Work may be authorized, as described below, and if authorized, will be compensated at the rates and manner set forth in this Agreement "Exhibit B. Exhibit B of the Agreement is hereby amended to read as follows: It is intended for the Consultant to provide engineering services on-site, at 150 S. 10th Street, Colton, CA 92324, forty (40) hours per week.
