APPROVED BY CITY C U CIL Date Item #9 CITY OF COLTON UTILITIES DEPARTMENT AGREEMENT FOR MAINTENANCEICONTRACTOR SERVICES 1. PARTIES AND DATE. This Agreement is made and entered into this 1St day of August, 2006 by and between the City of Colton, a municipal corporation of the State of California, located at 650 North La Cadena Drive, Colton, California 92324, County of San Bernardino, State of California, (hereinafter referred to as "City") and BRITHINEE ELECTRIC, a Corporation with its principal place of business at 620 South Rancho Avenue, Colton, CA 92324 (hereinafter referred to as "Vendor"). City and Vendor are sometimes individually referred to as "Party" and collectively as "Parties" in this Agreement. 2. RECITALS. 2.1 Vendor. Vendor desires to perform and assume responsibility for the provision of certain maintenance services required by the City on the terms and conditions set forth in this Agreement. Vendor represents that it is experienced in providing repairs to, and replacement of, electrical equipment services to public clients, that it and its employees or sub -Vendors have all necessary licenses and permits to perform the Services in the State of California, and that is familiar with the plans of City. 2.2 Project. City desires to engage Vendor to render such services for the City of Colton's Well No. 17 Electrical Equipment Replacement System and ("Project") as set forth in this Agreement. 3. TERMS. 3.1 Scope of Services and Term. 3.1 .1 General Scope of Services. Vendor promises and agrees to furnish to the Owner all labor, materials, tools, equipment - services, and incidental and customary work necessary for the Well No. 17 Project ("�ervices"). The Services are more particularly described in Exhibit "A" attached hereto and incorporated herein by reference. All Services shall be subject to, and performed in accordance with, this Agreement, the exhibits attached hereto and incorporated herein by reference, and all applicable local, state and federal laws, rules and regulations.
