APPROVED BY <br />CITY C U CIG <br />Date S <br />Item # 13 <br />FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN THE CITY OF COLTON <br />AND <br />PENNSYLVANIA TRANSFORMER TECHNOLOGY, INC. <br />ARTICLE 1. PARTIES AND DATE <br />This First Amendment to the Professional Services Agreement ("First Amendment") dated as <br />of the 29th day of May, 2007 is entered into by and between the City of Colton ("City") and <br />Pennsylvania Transformer Technology, Inc., a corporation (Consultant). <br />ARTICLE 2. RECITALS <br />2.1 City and Pennsylvania Transformer Technology, Inc. entered into that certain <br />Professional Services Agreement dated April 12, 2007 ("Agreement"), whereby Pennsylvania <br />Transformer Technology agreed to provide material and technical consultant services necessary to <br />repair two substation power transformers. <br />2.2 City and Consultant now desire to amend the Agreement to include additional costs to <br />provide tanker and vacuum equipment to drain and store oil from LTC compartments of Hub <br />Substation transformers 1 and 2. <br />ARTICLE 3. TERMS <br />3.1 Fees and Payments: <br />Section 3.3.1 of the Agreement is hereby deleted in its entirety and replaced with a <br />new Section 3.3.1 to read as follows: <br />3.3.1 Compensation. Consultant shall receive compensation, including <br />authorized reimbursements, for all Services rendered under this Agreement at the <br />rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. <br />The total compensation shall not exceed ninety-one thousand one hundred forty-five <br />dollars and seventy-three cents ($91,145.73) without written approval of City <br />Manager. Extra Work may be authorized, as described below, and if authorized, will <br />be compensated at the rates and manner set forth in this Agreement. <br />RVPUBWGS\635122 - I - <br />
