FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN THE CITY OF COLTON <br />AND <br />PENNSYLVANIA TRANSFORMER TECHNOLOGY, INC. <br />ARTICLE 1. PARTIES AND DATE <br />This First Amendment to the Professional Services Agreement ("First Amendment") dated as <br />of the day of May, 2007 is entered into by and between the City of Colton ("City") and <br />Pennsylvania Transformer Technology, Inc., a corporation (Consultant). <br />ARTICLE 2. RECITALS <br />2.1 City and Pennsylvania Transformer Technology, Inc. entered into that certain <br />Professional Services Agreement dated April 12, 2007 ("Agreement"), whereby Pennsylvania <br />Transformer Technology agreed to provide material and technical consultant services necessary to <br />repair two substation power transformers. <br />2.2 City and Consultant. now desire to amend the Agreement to include time and <br />materials cost necessary for the repairs and testing of Transformers 1 and 2 at the Hub Substation. <br />ARTICLE 3. TERMS <br />3.1 Fees and Payments: <br />Section 3.3.1 of the Agreement is hereby deleted in its entirety and replaced with a <br />new Section 3.3.1 to read as follows: <br />3.3.1 Compensation. Consultant shall receive compensation, including <br />authorized reimbursements, for all Services rendered under this Agreement at the <br />rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. <br />The total compensation shall not exceed ninety-one thousand one hundred forty-five <br />dollars and seventy-three cents ($91,145.73) without written approval of City <br />Manager. Extra Work may be authorized, as described below, and if authorized, will <br />be compensated at the rates and manner set forth in this Agreement. <br />RVPUB\NGS\635122 -1- <br />
