PARTIES AND DATE <br />This First Amendment to the Professional Services Agreement ("First Amendment") dated as <br />of the 1 st day of July 2007 is entered into by and between the City of Colton ("City") and G&G <br />Environmental Compliance, Inc. ("Consultant") <br />ARTICLE 2. RECITALS <br />2.1 City and Consultant entered into that certain Professional Services Agreement dated <br />July 1, 2006 ("Agreement"), whereby Consultant agreed to provide Pretreatment Program Services <br />for the Wastewater Treatment Plant. <br />2.2 City and Consultant now desire to amend the Agreement to increase the <br />compensation for the 07/08 Fiscal Year and succeeding years for the Pretreatment Program Services <br />in an amount not -to -exceed $98,175 and to extend the term of the agreement. <br />ARTICLE 3. TERMS <br />3.1 Section 3.1.2 Term is hereby modified and should read as follows: City is extending <br />the contract for an additional three (3) years, from Fiscal Year 07/08 through Fiscal Year Ending <br />June 30, 2010. The City may terminate this First Amendment to Professional Services Agreement <br />at any time with or without cause. If the City finds it necessary to terminate this Professional <br />Services Agreement without cause before Project completion, Consultant shall be entitled to be paid <br />in full for those Services adequately completed prior to the notification of termination.
