APPROVED BY <br />C E': AVU <br />Date <br />Item <br />FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN THE CITY OF COLTON <br />AND <br />KATZ, OKITSU AND ASSOCIATES <br />ARTICLE 1. PARTIES AND DATE <br />This First Amendment to the Professional Services Agreement ("First Amendment") dated as <br />of the 5th day of September, 2007 is entered into by and between the City of Colton ("City") and <br />Katz, Okitsu and Associates. <br />ARTICLE 2. RECITALS <br />2.1 City and Katz, Okitsu and Associates entered into that certain Professional Services <br />Agreement dated March 20, 2007 ("Agreement"), whereby Katz, Okitsu and Associates agreed to <br />prepare plans, specifications and estimates (PS&E) for Three (3) Traffic Signals at South <br />Rancho Avenue (intersections of La Cadena Drive, Agua Mansa Road, and Cement Plant <br />Road), and Bus Drop-off Zone at Rogers Elementary School. <br />2.2 City and Katz, Okitsu and Associates now desire to amend the Agreement to <br />revise the Scope of Services by adding the preparation of plans, specifications and estimates <br />(PS&E) for "C" Street Improvement Project and increase the amount of compensation. <br />ARTICLE 3. TERMS <br />3.1 Sections 3.1.2 and 3.3.1 of the Agreement is hereby deleted in its entirety and <br />replaced with new Sections to read as follows: <br />3.1.2 Term. The term of this Agreement shall be from One Hundred Twenty <br />(120) calendar days upon issuance of Notice to Proceed, unless earlier <br />terminated as provided herein. Consultant shall complete the Services within <br />the term of this Agreement, and shall meet any other established schedules <br />and deadlines. <br />3.3.1 Compensation. Consultant shall receive compensation, including authorized <br />reimbursements, for all Services rendered under this Agreement at the rates <br />set forth in Exhibit "C" attached hereto and incorporated herein by reference. <br />The total compensation shall not exceed One Hundred Fifteen Thousand <br />Eight Hundred Ten ($115,810.00) without written approval of City Council. <br />R VPUB\NGS\635122 <br />-1- <br />
