Vehicle Donation Agreement <br />Between the City of Colton <br />and <br />the County of San Bernardino <br />This Vehicle Donation Agreement ("Agreement") is entered into this 5th day of <br />February, 2008 between the City of Colton ("Colton"), a California municipal corporation, <br />and the County of San Bernardino (the "County"), a California county. The County and <br />Colton are herein referred to individually as a "Party" and collectively as the "Parties." <br />RECITALS <br />A. Colton owns a vehicle ("Vehicle") as particularly described in "Exhibit A" <br />attached hereto and which by this reference is made a part hereof. <br />B. Colton now desires to donate the Vehicle and the County desires to accept <br />the Vehicle to use such Vehicle. <br />C. In exchange for Colton's donation of the Vehicle, the County desires to <br />provide ten (10) all -day training slots at the County of San Bernardino Sheriff's <br />Department's Emergency Vehicle Operations Training Center ("EVOC" or the "Center") <br />and Colton desires to accept such training slots at the Center. <br />D. Furthermore, the County desires to assume all responsibility for operation <br />and maintenance of the Vehicle. <br />NOW, THEREFORE, the Parties agree as follows: <br />TERMS <br />1.0 Donation of Vehicle in Exchange for Training at EVOC. Colton agrees <br />to donate to the County and the County agrees to accept from Colton the Vehicle in <br />accordance with the conditions, requirements, and terms set forth in this Agreement. In <br />exchange, the County agrees to provide to the City and the City agrees to accept from the <br />County ten (10) all -day training slots at the County's Emergency Vehicle Operations <br />Training Center. <br />2.0 Acceptance of Vehicle "AS IS." The County acknowledges that it has <br />been given the opportunity to fully inspect and examine to its satisfaction all aspects of <br />the Vehicle. On the basis of such opportunity, Colton represents and warrants to the <br />County that, (1) the County is relying solely on the County's own investigation of the <br />Vehicle and review of such information and documentation, whether provided by Colton <br />or third Parties, in determining whether or not to accept the donation of the Vehicle, that <br />(2) Colton makes no representations as to the accuracy or completeness of such <br />
