This Second Amendment to the Professional Services Agreement ("Second Amendment") is made and entered into this 5th day of November, 2008 by and between the City of Colton ("City") and Glenn M. Reiter & Associates, ("Consultant"). City and Consultant are sometimes individually referred to as "Parry" and collectively as "Parties" in this Second Amendment. 2. RECITALS. 2.1 Agreement. City and Consultant entered into that certain Professional Services Agreement dated July 7, 2007 ("Agreement"), whereby Consultant agreed to provide Water Rate Study Consulting Services. 2.2 Amendment. City and Consultant desire to amend the Agreement for the Second time to increase the compensation to include additional water rate study tasks in an amount not - to -exceed $20,000 and to extend the term of the Agreement. 3. TERMS. 3.1 Section 3.1.2 Term is hereby modified and should read as follows: City is extending the contract for an additional six months through June 30, 2009. The City may terminate this Second Amendment to Professional Services Agreement without cause before Project completion; Contractor shall be entitled to be paid in full for those Services adequately completed prior to the notification of termination. Contractor may terminate this Second Amendment to Professional Services Agreement for cause only. 3.2 Compensation. Section 3.3.1 of the Agreement is hereby deleted in its entirety and replaced with the following: "3.3.1. Compensation is hereby modified and should read as follows: As consideration for performance of the work required herein, City agrees to pay Consultant the Total Contract Price not to exceed Forty -Seven Thousand Four
