PARTIES AND DATE <br />This SECOND AMENDMENT TO THE EMPLOYMENT AGREEMENT BETWEEN <br />THE CITY OF COLTON AND THE CHIEF OF POLICE (hereinafter referred to as "Second <br />Amendment") is made and entered into this 28th day of May 2009 by and between the CITY OF <br />COLTON (hereinafter referred to as "CITY") and ROBERT J. MILLER (hereinafter referred to <br />as "EMPLOYEE"). <br />2. RECITALS <br />2.1 Employment Agreement. On or about April 17, 2007, CITY and EMPLOYEE <br />entered into an Employment Agreement (hereinafter referred to as "Employment Agreement") <br />setting forth the terms and conditions for services to be provided by the EMPLOYEE to the <br />CITY. <br />2.2 First Amendment. On or about June 3, 2008, CITY and EMPLOYEE entered into <br />a First Amendment to the Employment Agreement to amend certain provisions relating to salary <br />and severance pay. <br />2.3 Second Amendment. CITY and EMPLOYEE now desire to amend the <br />Employment Agreement for a second time, in order to provide for the temporary assignment of <br />certain City Manager duties to EMPLOYEE. <br />2.4 Interim City Manager; No Assumption of City Manager Office. Pursuant to <br />Colton Municipal Code Section 2.16.050, the City Council is choosing through this Second <br />Amendment to temporarily assign to EMPLOYEE certain duties which would otherwise be <br />performed by the person who holds the office of the City Manager. The City Council is <br />authorizing EMPLOYEE to use the title of Interim City Manager, as well as Chief of Police, but <br />is expressly not appointing EMPLOYEE to hold the office of City Manager. <br />2.5 Authority. This Second Amendment is authorized pursuant to Section 9 of the <br />Employment Agreement. <br />3. TERMS <br />3.1 Duties and Obligations of Employee. Section 2 (Duties and Obligations of <br />Employee) of the Employment Agreement is hereby amended to include the following new sub- <br />paragraph: <br />GRAN G E\D D E R L ETH\572 8 8.1 <br />
