6.5 Riverside agrees to support Colton's efforts to permit Wells 30 and <br />31 for domestic water use through other permitting agencies. <br />7. Nothing in this MOU shall limit the ability of either City to modify its <br />rules or practices as it deems necessary in the conduct of its business, or to forgo or take <br />any actions necessary for such business. <br />General Provisions <br />8.1 This MOU constitutes the final, complete, and exclusive statement <br />of the terms of the agreement between the City of Colton and the City of Riverside <br />pertaining to the subject matter of this MOU, and supersedes all prior and <br />contemporaneous understandings or agreements of the parties. Neither party has been <br />induced to enter into this MOU by, and neither party is relying on, any representation or <br />warranty outside those expressly set forth in this MOU. <br />8.2 No amendments or modifications of this MOU shall be valid or <br />binding unless such amendments or modifications are in writing, duly dated and signed <br />by duly authorized persons on behalf of the parties. <br />8.3 Each party has cooperated in the drafting and preparation of this <br />MOU, and in any construction to made of this MOU, the MOU shall not be construed <br />against any party. <br />8.4 The undersigned state that they represent and have the authority to <br />execute this MOU on behalf of their respective agencies and in signing this MOU, concur <br />with and support this MOU and for the period and purposes as stated herein. <br />8.5 This MOU shall commence on the date set forth on page one of <br />this MOU and shall remain in effect indefinitely. Either party desiring to terminate this <br />MOU may do so by providing notice to the authorized agent for service of process of the <br />other party with sixty (60) days notice. <br />8.6 The following exhibits attached hereto are incorporated herein to <br />this Agreement by this reference: <br />Exhibit A: Draft "Agreement for Temporary Wastewater Treatment <br />for a Portion of the City of Colton" <br />Exhibit B: "Colton Class Il User Discharge Permit", dated April 1, 2009 <br />Exhibit C: Draft Pump Test Report, dated January 30, 2009 <br />Exhibit D: Summary of Flume well impacts <br />Exhibit E: Invoice for cost of pump test <br />[Signatures on Next Page] <br />0 <br />
