W. BECK, INC. <br />1. PARTIES AND DATE. <br />This First Amendment to the Professional Services Agreement ("First Amendment") is <br />made and entered into this the 22 d day of December, 2009 by and between the CITY OF <br />COLTON ("City") and R. W. BECK, INC., a corporation ("Consultant"). City and <br />Consultant are sometimes individually referred to as "Party" and collectively as "Parties" in this <br />First Amendment. <br />2. RECITALS. <br />2.1 Agreement. City and Consultant entered into that certain Professional Services <br />Agreement dated January 21, 2009 ("Agreement"), whereby Consultant agreed to provide all <br />labor, materials, tools, equipment, services, and incidental and customary work necessary to fully <br />and adequately supply certain services for the North Substation Project ("Project"), as is more <br />particularly set forth in the Scope of Services attached to the Agreement and made a part thereof <br />for all purposes. <br />2.2 Amendment. City and Consultant desire to amend the Agreement to increase the <br />compensation and add the Construction Management Services described in Exhibit "A -l" of this <br />First Amendment. <br />3. TERMS. <br />3.1 Added Scope of Work. Section 1.02 of Exhibit "A" of the Agreement is hereby <br />deleted in its entirety and replaced with Exhibit "A- I" attached hereto and incorporated herein by <br />reference, making the Construction Management Services described therein part of the <br />Consultants required scope of work under the Agreement. <br />3.2 Compensation. Section 3.3.1 (Compensation) of the Agreement is hereby deleted <br />in its entirety and replaced with the following: <br />"33.1 Compensation. Consultant shall receive <br />compensation, including authorized reimbursements, for <br />all Services rendered under this Agreement at the rates set <br />forth in Exhibit "C" attached to the Agreement and <br />incorporated by reference. The total compensation shall <br />not exceed one million seven hundred twenty-eight <br />thousand nine hundred dollars and zero cents <br />($1,728,900), with two hundred sixty thousand nine <br />SDPUB\TDORWARD\390291.2 <br />
