AGREEMENT: The Parties agree as follows: <br />4. TERM: <br />4.1 This Agreement shall become effective among the Parties <br />which become signatories to this Agreement by February 26, 1993. <br />4.2 Any Party to this Agreement may terminate its future <br />obligations hereunder by giving written notice to each other Party of <br />such termination. The date the termination shall become effective <br />shall be the last day of the month when such notice is given. <br />4.3 This Agreement shall continue in force and effect until the <br />earlier of the date when (i) the Project Manager notifies the Parties <br />that all bills and payments for work contemplated hereunder are <br />submitted and paid or (ii) this Agreement has been superseded by <br />another agreement among some or all of the Parties. <br />5. DEFINITIONS: <br />5.1 Authorized Representative: The person designated by each <br />Party in accordance with Section 9.1. <br />5.2 Century: Century Power Corporation <br />5.3 Project Entitlement: Each Party's indication of interest in <br />participation in San Juan, which is: <br />5.3.1 Azusa: 30 MW <br />5.3.2 Banning: 20 MW <br />5.3.3 Colton: 30 MW <br />5.3.4 Glendale: 20 MW <br />5.3.5 Imperial Irrigation District: 104 MW <br />5.4 Project Manager: The Party selected to act on behalf of the <br />Parties pursuant to Section 9. <br />5.5 San Juan: The 488 MW generating unit located in northwest <br />New Mexico commonly referred to as San Juan Unit No. 3. <br />-2- <br />
