WHEREAS, in order to establish and declare the terms and <br />conditions upon which the Loans are to be made, the Authority and <br />the Lenders desire to enter into this Loan Agreement; and <br />WHEREAS, all acts and proceedings required by law <br />necessary to make this Loan Agreement, when executed by the <br />Author,ity and the Lenders, the valid, binding and legal obligation <br />of the Authority and each of the Lenders, and to constitute this <br />Loan Agreement as a valid and binding agreement for the uses and <br />purposes herein set forth in accordance with its terms, have been <br />done and taken, and the execution and delivery of this Loan <br />Agreement have been in all respects duly authorized by the <br />respective parties. <br />NOW, THEREFORE, in consideration of the premises and the <br />mutual agreements herein contained, the parties hereto do hereby <br />agree as follows: <br />- 2 - <br />
