substantially in the form of Exhibit "C" which is attached hereto and incorporated herein <br />by reference. <br />3.8 In the event that Instructor cannot attend a particular class due to illness or <br />other emergency, upon a minimum of 24 hours notice to City, Instructor may provide a <br />substitute instructor who has similar professional qualifications at the sole expense of <br />Instructor. Instructor shall be responsible for the performance and conduct of all <br />instructor substitutes and all such substitutes shall be informed by Instructor of this <br />Agreement and any applicable City rules or regulations. If cancellation of a session <br />should become necessary, instructor shall contact each participant enrolled, notify <br />students of class make up date. If instructor fails to secure the services of an approved <br />substitute instructor, or fails to make up the class, said action will result in deduction of <br />the compensation of such classes from the Instructor's next payment, and is sufficient <br />cause for the City to terminate this Agreement. <br />3.9 Instructor shall protect all City property and shall be responsible for the <br />discipline and proper conduct of activity participants. <br />3.10 Instructor shall assure that all participants are properly enrolled through the <br />Department prior to participation in the activity. <br />3.11 Instructor shall take reasonable measures to ensure the safety of the course <br />participants. <br />3.12 Instructor shall not collect fees on behalf of the City. <br />3.13 Instructor shall not offer alternative, private instruction to persons currently <br />enrolled in City courses. <br />3.14 Any information distributed by Instructor, i.e., flyers, press releases and <br />media coverage, must be approved (in writing) by the City, prior to distribution. <br />3.15 Instructor's teaching youth, must stay with their students at all times. At no <br />time may an instructor leave the premises before all children have been picked up by <br />a parent or guardian. <br />4. COMPENSATION FOR AGREEMENT: <br />4.1 City and Instructor agree that Instructor shall receive 65% of student fees <br />actually received with the remainder being retained by City in compensation for <br />bookkeeping and promotional services, as well as use of the facilities for performing <br />instruction. <br />4.2 Instructor agrees not to accept any fees for instruction directly from students. <br />All fees shall be paid directly to the City and shall be held by City until the conclusion <br />of the course at which time 65% of all fees paid shall be paid to Instructor by City. <br />
