NON -ASSIGNMENT: 8.1 Except as provided in Section 3.8 of this Agreement, Instructor shall not have any right to assign and/or transfer his/her rights and/or obligations under this Agreement without the prior written consent of the City. 9. HOLD HARMLESS: 9.1 Instructor agrees to indemnify and hold harmless City, Director of Neighborhood Services, City employees, and volunteers from any liabilities, obligations, costs, claims or damages, howsoever caused, by reason of any injury (whether to body, property or reputation and whether of a personal or business nature)sustained by any person or to any person or to property, by reason of any act, neglect acts, default, errors or omission of Instructor or any of his/her agents, employees, or other representatives, arising out of or in any way connected with Instructor's performance of services under this Agreement. 9.2 In the event the City, its officers or employees, is made a party to any action, proceeding filed or prosecuted against Instructor for said claims, damages, penalties, obligations or liabilities, Instructor agrees to pay the City, its officers or employees, any and all costs and expenses incurred by the City, its officers or employees, in such action or proceeding including but not limited to reasonable attorneys' fees. 10. GOVERNING LAW: 10.1 This Agreement shall be construed and governed in all respects in accordance with the laws of the State of California. 11. ENTIRE AGREEMENT: 11.1 This Agreement contains the entire agreement between the parties and supersedes any and all other agreements, written or oral, expressed or implied, pertaining to the subject matter hereof.
