SOLID WASTE DELIVERY AGREEMENT <br />This SOLID WASTE DELIVERY AGREEMENT (this "Agreement"), dated as of <br />219 —, is entered into by and between the County of San Bernardino, a <br />political subdivision of the State of California (the "COUNTY"), and the City of <br />a general law or charter city and political subdivision of the <br />State of California, located within the County of San Bernardino (the "CITY"). <br />RECITALS: <br />1. The COUNTY operates the Disposal System (as defined below). <br />2. The COUNTY wishes to enter into an agreement with the CITY to accept <br />all of the CITY'S Acceptable Waste (as defined below) in the Disposal System, and the <br />CITY desires to deliver or caused to be delivered the Acceptable Waste generated <br />within its boundaries to the Disposal System for the term and subject to the provisions <br />of this Agreement (the "Participation Commitment"). <br />3. The parties wish to set forth the terms and conditions under which the <br />CITY will be obligated to deliver or cause to be delivered, Acceptable Waste to the <br />Disposal System and the COUNTY will be obligated to accept such Acceptable Waste. <br />4. The CITY has determined that the execution of this Agreement by the <br />CITY will serve the public health, safety and welfare of the City by providing greater <br />disposal rate stability and more predictable and reliable long-term disposal service. <br />5. The COUNTY has determined that the execution of this Agreement by the <br />COUNTY will serve the public health, safety and welfare by providing a more stable, <br />predictable and reliable supply of municipal Solid Waste and the resulting service <br />payment revenue to the Disposal System, thereby enabling the COUNTY to plan, <br />manage, operate and finance improvements to the Disposal System on a more prudent <br />.and sound long term, businesslike basis consistent with its obligations. <br />AGREEMENT: <br />NOW THEREFORE, in consideration of the foregoing recitals and other good <br />and valuable consideration, the receipt and adequacy of which is hereby <br />acknowledged, the parties hereto hereby agree as follows. <br />1 <br />103635.02 <br />06/05/97 <br />
