1 5L lt, Hap dqusf'Waste. Contractor shall implement the Hazardous Waste screening, identification <br />° `and prevention protocol attached as Exhibit 5.11. If Contractor inadvertently delivers materials to <br />3 any Processing Facility, Composting Facility or Disposal Facility which comprise Hazardous Waste <br />4 and Contractor cannot identify or fails to remove it, Contractor shall arrange for its proper disposal <br />5 in accordance with Applicable Law and/or cooperate with such Facility owner or operator with <br />6 respect thereto. Contractor shall made a good faith, best effort to recover the costs of such disposal <br />7 from the Customer which generated suchHazardous Waste, if known, and charge such cost to such <br />8 Customer. <br />9 <br />10 <br />11 5.12 Contractor Payments to City. <br />12 <br />13 a. Acquisition of City Collection Equipment. The Contractor shall purchase City's MSW <br />14 collection vehicles, rolling stock, containers and other collection equipment at the price of $500,000 <br />15 dollars payable in full upon the execution of this Agreement by cashier's check or other means <br />16 satisfactory to City Finance Director in her independent judgement The City shall hold such check <br />17 uncashed pending establishment and closing of a formal escrow satisfactory to both Parties. On the <br />18 date that the City shall cease providing collection services, Contractor shall take possession of such <br />19 purchased property, provided, Contractor shall remove City -owned containers upon delivery of <br />20 Contractor's Containers at the times provided in the Transition Plan, which may be earlier than the <br />21 date Contractor purchases such containers, <br />22 <br />b. Acquisition ofiL.�`'ity Collection Business. The Contractor shall purchase the City's MSW <br />.4 residential and commercial collection accounts as well as the collection accounts previously serviced <br />25 by private haulers (other than Jack's Disposal), together with related good will, at the price of two <br />26million one hundred twenty-five thousand dollars ($2,125,000) payable in full upon the execution <br />27 of this Agreement by means satisfactory to City Finance Director in her independent judgement, leu <br />28 forty-five thousand dollars ($45,000) payable in full on July 1, 1996 a one hundred twenty-four <br />29 thousand ninety-seven dollars ($124,097) on July 1, 2005. <br />�0 <br />31 <br />32 5.13 Customer Satisfaction Survey. Contractor shall retain at its cost and expense an independent <br />33 consultant experienced in conducting surveys, approved by the City, to design and implement a <br />34 Customer satisfac ' survey in form acceptable to City, during the seventh month following the <br />35 scheduledIcompletion of the Transition Pla (i.e. initial commencement of Services) and annually. <br />36 thereafter dduring the month of May. Contractor shall cause such consultant to submit the results of <br />3710aI such respective initial and annual surveys to the City by the end of the eighth month following the <br />38 initial commencement of Services and together with the annual report, respectively. <br />39 <br />40 <br />41 5.14 Transition Fee.
