Micus Re: Municipal Equipment Lease Purchase Agreement Ladies and Gentlemen: As City Attorney for the City of Colton (the "City"), we have reviewed the captioned lease (the "Lease Agreement") by and between the District and American Equipment Leasing (the "Corporation") relating to the acquisition and installation of certain vacuum street sweepers. We have also reviewed action taken by the City Council on February 3, 1998 which authorized the execution and delivery of the Lease Agreement and related matters. We have examined the Lease Agreement and have also examined the law and such certified proceedings and other papers as we deem necessary to render this opinion. As to questions of fact which are material to our opinion, we have relied upon representations of City staff and the certified proceedings and other certifications of officers of the City furnished to us, without undertaking to determine independently the accuracy, completeness or fairness thereof.
