1 <br />2 <br />3 <br />4 <br />5 <br />6 <br />7 <br />8 <br />9 <br />10 <br />11. <br />12 �� <br />13 <br />14 <br />15 <br />16 <br />17 <br />18 <br />19 <br />20 <br />21 <br />22 <br />23 <br />24 <br />25 <br />26 <br />27 <br />28 <br />(a) Site Lease dated as of October 1, 1998, by and between the City as <br />lessor and the Authority as lessee, whereby the City agrees to lease the site of <br />the Project to the Authority; <br />(b) Lease Agreement dated as of October 1, 1998, by and between the <br />Authority as lessor and the City as lessee, whereby the Authority agrees to <br />lease the Project and the site thereof back to the City and the City agrees to pay <br />semiannual Lease Payments as the rental therefor; <br />(c) Trust Agreement dated as of October 1, 1998, by and among the <br />City, the Authority and the Trustee, whereby the Trustee agrees to execute and <br />deliver the Certificates; and <br />(d) Escrow Deposit and Trust Agreement dated as of October 1, 1998, <br />by and between the City and U.S. Bank Trust National Association, as escrow <br />agent, relating to the deposit and application of funds to advance refund and <br />discharge the 1988 Certificates. <br />The City Manager is hereby authorized and directed for and in t11e name and on <br />behalf of the City to execute, and the City Clerk is hereby authorized and directed to attest <br />and affix the seal of the City to, the final form of each of the foregoing documents. �'he <br />schedule of lease payments attached to the Lease Agreement shall correspond to the <br />payments of principal and interest represented by the Certificates, to be deternvned upon the <br />sale thereof as set forth in Section 3. <br />-3- <br />
