4. Indemnification. ENOVA hereby agrees to indemnify and hold SEMPRA harmless against any losses, claims, damages or expenses (including, without limitation, reasonable attorney's fees and disbursements) incurred by SEMPRA as a result of any action, proceeding or claim brought against SEMPRA in connection with or arising out of the Agreement or obligations thereunder with respect to services performed before the Effective Date, even if such obligations arise on or after the Effective Date. SEMPRA hereby agrees to indemnify and hold ENOVA harmless against any losses, claims, damages or expenses (including, without limitation, reasonable attorneys; fees and disbursements) incurred by ENOVA as a result of any action, proceeding or claim brought against ENOVA in connection with or arising out of the Agreement or obligations thereunder with respect to services performed after the Effective Date. 5. Each reference to "ENOVA" in the Agreement is here amended to read "SEMPRA". 6. Section 4.1 of the Agreement is hereby deleted in its entirety. 7. Section 4.4 of the Agreement is hereby deleted in its entirety. 8. Section 4.5 of the Agreement is hereby deleted in its entirety. 9. Section 4.6 of the Agreement is hereby deleted in its entirety. 10. Section 4.7 of the Agreement is hereby amended by deleting the words, "as set forth in the Budget". 11. Section 4.9 of the Agreement is hereby deleted in its entirety. 12. Section 4.12 of the Agreement is hereby amended by deleting the words, "and the ABC Sale". 13. Section 4.14 of the Agreement is hereby deleted in its entirety. 14. Section 4.18 of the Agreement is hereby added to read in its entirety as follows: "4.18 "ISO" - [INSERT DEFINITION]" 15.
