12. No failure or delay on the part of either party in exercising any Power or right. <br />hereunder will <br />operate as a waiver thereof, nor will any single or partial exercise <br />of any such right or power preclude any further or other exercise thereof or the <br />exercise of any other right or power hereunder, no modification or waiver of any <br />provision of this agreement nor consent to any departure by either party therefrom <br />Will in any event be effective until the same will be in writing and then such waiver <br />or consent will be effective only in the specific instance and the <br />it was given. No notice to or demand on, either PAY in any case will entitle such <br />party to any other or further notice or demand in similar or other circumstances. <br />13.
