M <br />shall inure to the benefit of the Parties, and their successors, heirs, personal representatives, or <br />assigns. This section shall not be construed as an authorization for any Party to assign any right or <br />obligation. <br />9.0 lnvalidity; Severabilitv. If any portion of this Agreement is declared invalid, illegal, <br />or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions shall <br />continue in full force and effect. <br />10.0 Governing Law and Venue. This Agreement shall be construed in accordance with <br />and governed by the laws of the State of California. Any lawsuit brought in connection with this <br />Agreement shall be brought in the appropriate court in the County of San Bernardino, California. <br />11.0 Attorneys' Fees and Costs. If any legal action or other proceeding is brought in <br />connection with this Agreement, the successful or prevailing Party shall be entitled to recover <br />reasonable attorneys' fees and other related costs, in addition to any other relief to which the Party <br />is entitled. <br />12.0 Authority to Enter Agreement. Each Party warrants that the individuals who have <br />signed this Agreement have the legal power, right, and authority make this Agreement and bind each <br />respective Party. <br />13.0 Entire Agreement.
