_J <br />SCE-COLTON PALO VERDE-DEVERS COPY <br />SCHEDULING CHARGES AGREEMENT <br />1 PARTIES: This Agreement is entered into by and between the Southern <br />California Edison Company ("SCE") a California corporation, and the City of Colton <br />("City"),a municipal corporation of the State of California, hereinafter sometimes <br />referred to as "Party" or "Parties." <br />2 RECITALS: This Agreement is made with reference to the following facts <br />among others: <br />2.1 SCE is a party to the Exchange Agreement, pursuant to which, among <br />other things,- SCE provides firm transmission service to the Los Angeles <br />Department of Water and Power ("LADWP") between Palo Verde and Sylmar. SCE <br />currently acts as the Scheduling Coordinator for LADWP's use of such service. <br />2.2 City and LADWP are parties to the Los Angeles -City Agreement, <br />pursuant to which LADWP provides transmission service to City between Palo <br />Verde and Sylmar using a portion of LADWP's rights to transmission service <br />obtained pursuant to the Exchange Agreement. <br />2.3 City desires to schedule its transmission service rights obtained <br />pursuant to the Los Angeles -City Agreement directly with the ISO through City's <br />Scheduling Coordinator. Therefore, the City and LADWP entered into the <br />Procedures. In addition, SCE committed to enter into an agreement with City to <br />reimburse City for charges imposed by the ISO on City's Scheduling Coordinator <br />attributable to City's schedules of the Residual Rights. <br />2.4 This Agreement and the Procedures are intended to implement the <br />Parties' rights and obligations pursuant to the Exchange Agreement and the Los <br />
