_I <br />City of Colton attached hereto as Exhibit 1. <br />4.7 Residual Rights: LADVIP's use, on an interruptible basis, of the j <br />transmission service provided to City in accordance with the Los Angeles -City <br />Agreement when City is not using such transmission service. <br />4.8 Scheduling Coordinator: A Scheduling Coordinator as defined in the <br />ISO Tariff. <br />5 EFFECTIVE DATE AND TERM: This Agreement shall be effective on <br />the later of the date of execution of this Agreement or the effective date of the <br />Procedures. This Agreement shall terminate upon the earlier of the date of <br />termination,of the Procedures or, if the circumstances that caused the Parties to <br />enter into this Agreement change and the Parties after good faith negotiations <br />cannot agree on modifications or termination of this Agreement, on 90 days' written <br />notice by either Party to the other Party. <br />6 ISO CHARGES: <br />6.1 City shall be responsible, through its Scheduling Coordinator, to pay <br />all charges billed by the ISO in accordance with the ISO Tariff attributable to <br />schedules of the Residual Rights. Except as provided in Section 6.2, SCE shall <br />reimburse City for all charges billed to the City's Scheduling Coordinator by the <br />ISO in accordance with the ISO Tariff that are attributable to schedules of the <br />Residual Rights. <br />6.2 SCE shall not be obligated pursuant to this Agreement to reimburse <br />a� <br />City for: (i) any fine, penalty, or late charge imposed by the ISO on City or its <br />3 <br />
