R-63-99 <br />RESOLUTION OF THE CITY OF COLTON, CALIFORNIA APPftOVING <br />THE TRANSFER OF THE CABLE TELEVISION FRANCHISE <br />WHEREAS, TCI Cablevision of California ("Franchisee") owns, operates, and <br />mainta.i.ns a cable television system (the "System") in the City of Colton, <br />C�lifornia (the "Franchise Authorit�'), and is the duly authorized holder of a <br />fr,anchise, permit, license or other. authorization (as amended to date, the <br />"F'ranchise"); and <br />WHEREAS, Franchisee and Century-TCI California, L.P. ("'I`ransferee"), a <br />— partnership between certa.i.n affliates of Century Communicataons Corporation <br />a.nd certain a�liates of Fra.nchisee, are parties to an asset contribution <br />ag.reemen� (the "Contribution Agreement") pursuant to which the System and the <br />Fr�nchi.se (after one or more intermediate transfers pursuant to a.n internal <br />re5tructuring) will be transferred to �ansferee (the "�ansfers"); and <br />W�iERE�,S, Franchisee and 1`ransferee have requested consent by the Franchise � <br />Authority to the Z`ransfers in accordance with the requirements of the F�anchise <br />and have filed an FCC Form 394 with the Franchise Authority; and <br />WI�[EftEAS, the Franchise Authority has investigated the quali.fications of <br />�ansferee and finds it to be a suitable transferee; <br />
