POWER SALES AGREEMENT 4 THIS AGREEMENT is made and entered into as of the day of 5 , 1999, by and between the City of Colton, California, a municipal corporation, 6 (hereinafter known as "Colton") and American Utility Network, a California corporation 7 and registered Energy Service Provider No. 1158, (hereinafter known as "AUN"), and 8 Sempra Energy Trading Corporation, a Delaware corporation, said corporations being 9 sometimes referred to collectively as "Parties" and individually as a "Parry". 10 11 RECITALS 12 13 This agreement is made with reference to the following facts: 14 15 WHEREAS, Colton, California, is engaged in the generation, transmission, distribution 16 and sale of electric power in the State of California, and is interconnected to the 17 transmission and distribution system of the Southern California Edison Company and to 18 transmission facilities under the control of the California Independent System Operator, 19 (hereinafter known as "ISO") and, 20 21 WHEREAS, Colton has surplus energy resources available and, 22 23 WHEREAS, American Utility Network, is engaged in the sale of electric commodity and 24 related services to retail electricity customers in the State of California, and, 25 26 WHEREAS, the Parties desire to establish terms and conditions under which electrical 27 energy shall be sold by Colton to AUN, and, 28 29 WHEREAS, the Parties desire to establish terms and conditions under which certain 30 information pertaining to provision of electric commodity and related services shall be 31 provided by AUN to Colton, Power Sales Agreement, City of Colton and American Utility Network June 8, 1999 Page 1 of 18
