(i) preschedule reports; <br />(ii) actual load and dispatch reports; <br />(iii) settlement data for ISO/PX and other third party market transactions; <br />(iv) summaries of peak demand and energy utilization, resource operation, <br />market purchases and sales and transmission utilization; and <br />(v) reports necessary to assist with settlements under the SCE Restructuring <br />Agreement. <br />(i) Coral Power shall assist the City in preparing quarterly reports required by FERC, <br />CEC, and the California State Franchise Board. <br />2. Optimization Services. The City hereby engages Coral Power to provide the following <br />services (collectively, the "O_ptimization Services") subject to the terms and conditions <br />set forth herein. <br />(a) From and after the execution of this Agreement, Coral Power shall perform a <br />market and risk assessment of the City's electrical load requirements and the <br />options available to the City for reducing the cost of electricity required by the <br />City. Coral Power shall provide an initial strategy development report (the <br />"Report') to the City on or before May 15, 2000, setting forth initial strategies <br />Coral Power believes could reduce the City's cost of its electricity load <br />requirements. Such strategies may include some or all of the following actions: <br />(i) terminating, extending or modifying some or all of the contracts with the <br />Facilities to enhance the City's revenues or to reduce its costs; <br />(ii) entering into new generation or transmission contracts with entities other <br />than the Facilities to meet additional load requirements or to enhance the <br />City's revenues or to reduce its costs; <br />(iii) entering into risk management transactions so as to attempt to eliminate <br />the potential negative effect of market fluctuations on the price of <br />electricity or operational risks; or <br />(iv) any other transactions or strategies set forth by Coral Power. <br />(b) From and after delivery of the Report, the Parties shall discuss the proposed <br />strategies set forth in the Report, and any other strategies subsequently set forth <br />by Coral Power (all such strategies are collectively referred to herein as <br />"Optimization Strategies'), and the Parties shall mutually agree on which <br />Optimization Strategies, if any, the Parties contemplate effectuating. In the event <br />the Parties agree to attempt to implement any Optimization Strategy, the Parties <br />shall enter into an amendment of this Agreement or other mutually agreeable <br />documentation necessary for the execution and consummation of such <br />Optimization Strategy (e.g broker and/or agency agreements, power marketing <br />agreements, etc.). Coral Power shall not implement any Optimization Strategy <br />which involves the City executing a contract with any third party unless each such <br />third parry is of sufficient credit risk so as to satisfy Coral Power's internal <br />counterparty credit restrictions, as such may be amended from time to time.
