CITY OF COLTON <br />STANDARD AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />THIS AGREEMENT, made and entered into this fifth day of <br />January, 2000, by and between the City of Colton, California <br />("City"), a municipal corporation, and Hitchcock and Associates, <br />("Consultant"). <br />R E C I T A L <br />1. Purpose <br />The purpose of this Agreement is to allow City to procure the <br />service of an experienced professional firm to provide <br />services to develop an electric power generation facility in <br />the City of Colton and to otherwise assist the City in <br />matters of electric power resources. <br />TERMS AND CONDITIONS <br />— — — — — — — — — — — — — — — — — — <br />2. Mission <br />City hereby retains Consultant in the capacity as Consultant <br />for provisions of services described in Exhibit "A". <br />Consultant hereby accepts such responsibility as described <br />herein. In the event of any conflict between the <br />interpretation of the terms and conditions of this Agreement <br />and any provision contained in Exhibit "A", herein, the <br />language of this agreement shall prevail. <br />3. Terms <br />This Agreement shall commence as of the day and year first <br />above shown and shall remain in full force and effect for a <br />period of TEN (10) MONTHS, unless sooner terminated as <br />provided herein. The City Manager of the City, or his or her <br />designee, is authorized to extend this Agreement for a period <br />of ONE HUNDRED -EIGHTY (180) DAYS, and approve line item <br />adjustments to the Agreement's program budget as long as <br />either of such amendments are upon the same terms and <br />conditions as specified herein. <br />
