Coral Power shall contact all necessary control areas and scheduling parties and <br />endeavorto <br />arrange for schedule modifications necessary to obtain replacement <br />electricity from the Generation Facilities or other sources of power; provided, <br />however, Coral Power shall neither be required to make, nor shall Coral Power be <br />liable for losses that may arise out of, its economic decisions with regard to <br />modifications of pre -scheduled transactions beyond the extent to which such <br />losses might reduce Coral Power's Optimization Fee. <br />(f) Coral Power shall provide reconciliations of generation and transmission of <br />electricity scheduled versus the quantity of such generation and transmission of <br />electricity actually provided by each of the Facilities. Coral Power shall also (I) <br />assist in managing the settlement process with the ISO and PX including monthly <br />settlement of the ISO Grid Management Charge at the 50% rate for the City's <br />current transmission rights and (ii) provide reasonable assistance and <br />documentation in connection with audits of the City to the extent such audits <br />pertain to Coral Power's execution of any of the Services. To the extent Coral <br />Power is requested to provide data which Coral Power deems confidential or <br />proprietary, the City shall take all reasonable steps necessary to protect the <br />confidentiality of such data and Coral Power shall not be required to disclose such <br />data until it is reasonably satisfied that such data will be kept confidential. <br />(g) Coral Power shall provide daily, weekly and monthly reconciliation <br />reports and summaries of the City's transactions with the Facilities. The City <br />shall directly pay the appropriate entity for the cost of any transmission or <br />generation services provided by such entity. As the City's scheduling coordinator <br />with the ISO and PX, Coral Power shall settle the ISO and PX fees (collectively, <br />the "ISO Fees") with such entities on the City's behalf to the extent the City <br />provides Coral Power with the necessary funds to pay the ISO Fees. Coral Power <br />shall invoice the City on a monthly basis for the ISO Fees based upon estimated <br />settlement data obtained from the ISO and PX and the ISO Fees shall be <br />reconciled in subsequent invoices as Coral Power receives actual settlement data <br />from the ISO and PX. <br />(h) Coral Power shall provide the City with certain other written reports <br />regarding the generation and transmission of electricity delivered to the City from <br />the Facilities to the extent the City reasonably determines that such reports are <br />useful in analyzing the electricity provided by the Facilities to the City. The <br />Parties shall mutually develop examples of each such report to be provided by <br />Coral Power to the City, including the specific data and format to be included <br />therein. The Parties contemplate that such reports shall include any or all of the <br />following: <br />(i) preschedule reports; <br />(ii) actual load and dispatch reports; <br />(iii) settlement data for ISO/PX and other third party market <br />transactions; and <br />RVPUB\DRD1556735 <br />
