Board of Directors adopted a Delegation of <br />Authority Resolution on February 28, 1994 authorizing me to delegate <br />authority to you to perform certain duties in the ordinary conduct of <br />WESCO's business. <br />(b) I hereby delegate to you the signatory authority described in paragraph <br />hereof. You shall not re -delegate this authority to any other person. <br />Acquisitions and Divisions: The signatory authority described in paragraph 1 <br />hereof, shall include the management of WESCO's acquired divisions and <br />business locations. <br />Expiration: This Delegation of Authority shall continue in full force and effect <br />unless terminated earlier by me. <br />5.Questions: Questions respecting this Delegation of Authority should be referred <br />to Dan Brailer, WESCO Corporate Secretary, or your respective Group <br />Controller. <br />Roy aley <br />President and CEO <br />Attachment: Extract of Board Resolution <br />WESCO 3504 <br />
