WW01-3 <br />PARTIES AND DATE. <br />This Agreement is made and entered into this 15`h day of Januarv, 2002 by and <br />between the City of Colton, a municipal corporation of the State of California, located at 650 <br />North La Cadena Drive, Colton, California 92324, County of San Bernardino, State of California, <br />(hereinafter referred to as "City") and Svnagro West, Inc., a corqoration with its principal place of <br />businessat�0490 Jz.wson Ca.nyon Rd., P.O. Box 7027, Corona, ���r referred to as <br />"Contracto�"). City and Contractor are sometimes individually referred to as "Party' and <br />collectively as "Parties" in this Agreement. <br />2. RECITALS. <br />2.1 Contractor. <br />Contractor desires to perform and assume responsibility for the provision of certain <br />maintenance services required by the City on the terms and conditions set forth in this <br />Agreement. Contractor represents that it is experienced in providing bio-solids haulina services <br />to public clients, that it and its employees or subcontractors have all necessary licenses and <br />permits to perform the Services in the State of California, and that is familiar with the plans of <br />City. <br />2.2 Project. <br />City desires to engage Contractor to render such services for the Wastewater <br />Treatment Plant ("ProjecY') as set forth in this Agreement. Bid: <br />Hauling and disposal of approximately tons of 3.000 tons of Class B <br />Anaerobically digested bio-solids from the City of Coiton's Wastewater <br />Treatment Plant. Bio-solids consists of settleable and floating solids, <br />chemicals and other waste by-products. The contractor is responsible for <br />removal from bio-solids beds, loading of bio-solids and transportation of the <br />bio-solids from the Wastewater Treatment Plant to the contractor's permitted <br />disposal site(s) and/or permitted storage facility(ies) and for the ultimate <br />disposal of such bio-solids. The contractor must comply with any and all <br />applicable laws, statutes, regulations, ordinances, directives, licenses and <br />permits during the performance of the contract. <br />Bid Alternate: <br />It is anticipated that the State of California, will approve the change in the <br />bio-solids classification from Class B to Class A. The cost for the change <br />in classification will be requested as a bid alternate. The City reserves the <br />right to consider the bid alternate cost in awarding the contract to the lowest <br />responsible bidder. <br />
