APPROVED cBY CITY CO! 1 U� Date U FIRST AMENDMENT TO THE EMPLOYMENT AGREEMENT BETWEEN THE CITY OF COLTON AND THE CITY MANAGER 1. PARTIES AND DATE This FIRST AMENDMENT (hereinafter referred to as "First Amendment") is made and entered into this 4th day of June, 2002 by and between the CITY OF COLTON (hereinafter referred to as "City") and DARYL J. PARRISH (hereinafter referred to as "City Manager"). 2. RECITALS 2.1 On or about June 5, 2001, City and City Manager entered into an Employment Agreement (hereinafter referred to as "Employment Agreement") setting forth the terms and conditions for management services to be provided by the City Manager to the City. 2.2 City and City Manager desire to amend certain provisions of the Employment Agreement, including provisions relating to the term, compensation, car allowance and health benefits: and 2.3 This First Amendment is authorized pursuant to Section 11 of the Employment Agreement. 3. AGREEMENT 3.1 Section 3 of the Employment Agreement (Salary) is amended in its entirety to read as follows: "3. Salary. The City Manager's base annual salary shall be One Hundred Twenty Thousand Dollars ($120,000) per fiscal year, provided, however, that following completion and implementation of the current salary study, the City Manager's base annual salary shall increase and remain five percent (5%) higher than the base annual salary of the City's highest paid department head salaried employee, and shall be automatically adjusted to maintain such a salary differential. The City Manager's salary shall be payable in installments at the same time as other employees of the City are paid. Any additional increases in salary shall be at the sole discretion of the Council." 3.2 Section 5 of the Employment Agreement (Term) is amended in its entirety to read as follows: "5. Term. Subject to the termination provisions in Section 6, the term of this Agreement shall be from June 5, 2001 to June 5, 2005." R V PUB/NG S/633088
