APPROVED cBY <br />CITY CO! 1 U� <br />Date U <br />FIRST AMENDMENT TO THE <br />EMPLOYMENT AGREEMENT <br />BETWEEN THE CITY OF COLTON AND <br />THE CITY MANAGER <br />1. PARTIES AND DATE <br />This FIRST AMENDMENT (hereinafter referred to as "First Amendment") is made and <br />entered into this 4th day of June, 2002 by and between the CITY OF COLTON (hereinafter <br />referred to as "City") and DARYL J. PARRISH (hereinafter referred to as "City Manager"). <br />2. RECITALS <br />2.1 On or about June 5, 2001, City and City Manager entered into an Employment <br />Agreement (hereinafter referred to as "Employment Agreement") setting forth the terms and <br />conditions for management services to be provided by the City Manager to the City. <br />2.2 City and City Manager desire to amend certain provisions of the Employment <br />Agreement, including provisions relating to the term, compensation, car allowance and health <br />benefits: and <br />2.3 This First Amendment is authorized pursuant to Section 11 of the Employment <br />Agreement. <br />3. AGREEMENT <br />3.1 Section 3 of the Employment Agreement (Salary) is amended in its entirety to <br />read as follows: <br />"3. Salary. The City Manager's base annual salary shall be One <br />Hundred Twenty Thousand Dollars ($120,000) per fiscal year, provided, <br />however, that following completion and implementation of the current <br />salary study, the City Manager's base annual salary shall increase and <br />remain five percent (5%) higher than the base annual salary of the City's <br />highest paid department head salaried employee, and shall be <br />automatically adjusted to maintain such a salary differential. The City <br />Manager's salary shall be payable in installments at the same time as <br />other employees of the City are paid. Any additional increases in salary <br />shall be at the sole discretion of the Council." <br />3.2 Section 5 of the Employment Agreement (Term) is amended in its entirety to read <br />as follows: <br />"5. Term. Subject to the termination provisions in Section 6, the term <br />of this Agreement shall be from June 5, 2001 to June 5, 2005." <br />R V PUB/NG S/633088 <br />
