XII. CONSTRUCTION <br />This Agreement shall be construed and interpreted according to the laws of the State of <br />California. <br />XIII. COUNTERPARTS <br />This Agreement may be executed in counterparts, and the counterparts, when fully <br />executed by each of the Parties, shall constitute one and the same Agreement. Signatures sent by <br />fax shall be deemed originals and treated in all respects as originals. <br />XIV. FACSIMILE SIGNATURE <br />For the purpose of executing this Agreement, a facsimile signature shall have the same <br />force and effect as the original. <br />XV.
