PARTIES AND DATE <br />This First Amendment to the Professional Services Agreement ("First Amendment") dated <br />as of the 22nd day of January, 2004 is entered into by and between the City of Colton ("City") and <br />G & G Environmental ("Consultant") as an independent consultant to the City of Colton for the <br />City's Wastewater Pretreatment Administration ("Project"). <br />ARTICLE 2. RECITALS <br />2.1 City and Consultant entered into that certain Professional Services Agreement dated <br />August 14, 2003 ("Agreement'), whereby Consultant agreed to perform Industrial Pretreatment <br />Program (PTP) Management Services. The initial scope of work involves a complete assessment of <br />current program effectiveness and the program's conformity with State and Federal PTP <br />requirements. Consultant and staff will work closely with the Director of Water and Wastewater to <br />develop a fully compliant and effective Pretreatment Program including the development of an <br />annual budget. <br />2.2 City and Consultant now desire to amend the Agreement to increase the amount of <br />compensation. <br />ARTICLE 3. TERMS <br />3.1 Section 3.3.1 of the Agreement is hereby deleted in its entirety and replaced with a <br />new Section 3.3.1 to read as follows: City is increasing the amount of Compensation, including <br />authorized reimbursements, for all Services rendered under this Amendment at the rates set forth in <br />Exhibit "C" attached hereto and incorporated herein by reference. The total compensation for the <br />WASTEWATER PRETREATMENT ADMINISTRATION Services shall not exceed Seventy <br />Thousand Dollars ($70,000.00), without written approval of the Colton Utility Authority. <br />RVPUQ\NGS\635122 <br />-1- <br />
