1.18 Opening of Escrow: as defined in Section 3.2 hereof. <br />1.19 Permitted Exceptions: as defined in Section 5.2 hereof. <br />1.20 Preliminary Title Report: as defined in Section 5. 1.1 hereof. <br />1.21 Property: as defined in the Recitals to this Agreement. <br />1.22 Purchase Price: as defined in Section 3.1 hereof <br />1.23 Purchaser: as defined in the Preamble to this Agreement. <br />1.24 Removable Liens: as defined in Section 5.4 hereof. <br />1.25 Review Period: as defined in Article 4 hereof. <br />1.26 Seller: as defined in the Preamble to this Agreement. <br />1.27 Seller's Due DiliLyence Materials: as defined in Section 4.3 hereof. <br />1.28 Survey: as defined in Section 5.1.2 hereof. <br />1.29 Surveyor: Any reputable California registered land surveyor as Purchaser may <br />select. <br />1.30 Title Insurer: First American Title Insurance Company or such other reputable <br />title insurance company as Seller may select. <br />1.31 Title Policy: as defined in Section 5.3 hereof. <br />ARTICLE 2 <br />AGREEMENT TO PURCHASE AND SELL <br />Subject to the Lot Split, which shall be the full responsibility of Seller, including all fees <br />associated with the Lot Split, Purchaser agrees to purchase, and Seller agrees to sell, the Property <br />at the Purchase Price and on the terms set forth herein. In furtherance thereof Seller agrees to <br />convey to Purchaser insurable fee simple title to the Property together with all privileges, rights <br />(including mineral rights to the extent they are transferable by Seller), easements, hereditaments, <br />and appurtenances thereto belonging; and all right, title and interest of the titleholder thereof in <br />and to any streets, alleys, passages and other rights-of-way included therein or adjacent thereto <br />(before or after the vacation thereof) by a recordable grant deed substantially in form and content <br />as set forth in Exhibit "D" attached hereto. <br />RVIIUSTOM664785.4 <br />
