3. Joint Instructions to Escrow lJoider. The Sellers and the City hereby jointly
<br />instruct the Escrow Holder under the Purchase Agreement to cancel the Escrow under the
<br />Purchase Agreement and any related title insurance order. The Sellers and the City also jointly
<br />instruct the Escrow 'Holder to return the entire Deposit under the Purchase Agreement and any
<br />interest earned on the Deposit to the City, as soon as possible. Except as otherwise instructed in
<br />this Agreement, the Escrow Holder is jointly instructed by the Sellers and the City to proceed
<br />pursuant to Section 3.12. of the .Purchase .agreement.
<br />4. Estoppels. The Sellers acknowledge and agree that, as of the .Effective Date, the
<br />City has performed each and every one of the City's obligations under the Purchase Agreement
<br />and no performance of the City is due to the Sellers under the Purchase Agreeinen.t. The City
<br />acknowledges and agrees that, as of the Effective Date, the Sellers have performed each and
<br />every one of the Sellers' obligations under the Purchase Agreement and no .performance of the
<br />Sellers is due to the City under the Purchase Agreement.
<br />5. RELEASES OF LIABILITY.
<br />(a) THE SELLERS, ON BEHALF OF "THEMSELVES, THEIR
<br />SUCCESSORS AND ASSIGNS, RELEASE AND DISCHARGE THE CITY, ITS ELECTED
<br />OFFICIALS, OFFICERS, EMPLOYEES, ATTORNEYS AND AGENTS FROM ANY AND
<br />AL:I., DEBTS, CLAIMS, DEMANDS, LIABILITIES, OBLIGATIONS, CAUSES OF ACTION
<br />AND RIGHTS, INCLUDING ATTORNEY'S FEES AND COURT COSTS, WHETHER
<br />KNOWN OR UNKNOWN, THAT THE SELLERS NOW OWN OR HOLD, OR AT ANY
<br />TIME PRIOR TO THE EFFECTIVE DATE OWNED OR HELD, BY REASON OF ANY ACT,
<br />MATTER, CAUSE OR THING RELATING TO THE 13URCHASE AGREEMENT.
<br />(b) THE CITY, ON '.BEHALF OF.ITSELF,'ITS SUCCESSORS AND

<br />ASSIGNS, RELEASES AND DISCHARGES HE SELLERS, THEIR OFFICERS.
<br />EMPLOYEES AND AGENTS FROM ANY AND A.LI, DEBTS, CLAIMS, DEMANDS,
<br />LIA.BILITI.ES, OBLIGATIONS, CAUSES OF ACTION AND RIGHTS, INCI.:UDING
<br />ATTORNEY'S FEES AND COURT COSTS, WHETHER KNOWN OR UNKNOWN, THAT
<br />THE CITY NOW OWNS OR FOLDS, OR AT ANY TIME PRIOR TO THE EFFECTIVE
<br />DATE OWNED OR HELD, BY REASON OF ANY ACT, MATTER, CAUSE, OR THING
<br />RELATING TO "THE PURCHASE AGREEMENT.
<br />(c) "THE RELEASES CONTAINED IN THIS PARAGRAPH 4 EXTEND TO
<br />ANY AND ALL, CLAIMS, WHETHER OR NOT CLAIMED OR SUSPECTED BY EITHER
<br />PARTY, TO AND INCLUDING THE EFFECTIVE DATE, AND CONSTITUTES A WAIVER
<br />OF THE APPLICATION OF EACH AND ALL OF THE PROVISIONS OF CALIFORNIA
